1. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between you and Capital Marketing Digital LLC ("Komptly," "we," "us"), a limited liability company organized under the laws of the State of New Mexico, United States, with its registered address at 1209 Mountain Rd PL NE STE R, Albuquerque, NM 87110. By creating an account, listing an account for sale, or making a purchase on Komptly, you agree to be bound by these Terms. If you do not agree, do not use the service.

2. Description of the Service

Komptly operates an online marketplace that connects sellers and buyers of social media accounts (Instagram, TikTok, Snapchat, YouTube, X) and provides a payment-holding service in connection with those transactions: funds paid by a buyer are held by Komptly and are only released to the seller after the conditions described in Section 6 are met. Komptly is not the owner or seller of any account listed on the platform, and is not a party to the underlying sale between buyer and seller — we facilitate and secure the transaction between them.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use Komptly. By using the service, you represent that you meet these requirements and that all information you provide is accurate and current.

4. Third-Party Platform Risk

Transferring ownership of a social media account may violate the terms of service of the platform in question (Instagram, TikTok, Snapchat, YouTube, X, or others), each of which reserves the right to suspend, restrict, or delete an account whose ownership has changed. Komptly is not affiliated with, endorsed by, or sponsored by Meta, TikTok Inc., Snap Inc., YouTube/Google, or X Corp. You acknowledge and accept this risk. Komptly is not responsible for any suspension, restriction, or deletion of an account by the platform it belongs to, whether before or after a transaction.

5. Seller Obligations

By listing an account, the seller certifies that they are its legitimate owner and that the information provided (followers, engagement, revenue, and any other statistic) is accurate and not misleading. Once a buyer's payment is held by Komptly, the seller agrees to transmit all account credentials (email, password, recovery phone number, two-factor authentication) exclusively to Komptly through the secure form on the transaction page — never directly to the buyer. Komptly verifies within 24 to 48 hours that the account matches the listing before releasing credentials to the buyer. The seller agrees not to attempt to regain control of the account after the sale is completed; doing so may constitute fraud and expose the seller to civil and criminal liability.

6. Payment Holding ('Escrow') and Release of Funds

The buyer pays the listed price by credit card, cryptocurrency, bank transfer, or their Komptly balance, using one of the methods offered on the transaction page. Funds are held by Komptly and are released to the seller only after (a) Komptly has verified that the account matches the listing, and (b) the buyer has confirmed full control of the account. If a dispute arises, funds remain held until it is resolved. If the transfer fails due to the seller's fault, the buyer is fully refunded through their original payment method.

Komptly is not a bank, and does not represent that it holds any specific license as a money transmitter or escrow agent in any US state unless expressly stated in writing. Nothing in these Terms should be read as a representation of regulatory status. This Section describes how the service functions, not a legal characterization of it.

7. Fees and Commission

Listing an account is free and carries no obligation. Buyers pay no fee — only the price shown on the listing. If a sale is completed, Komptly retains a 12% commission on the sale price, charged to the seller and deducted from the held funds at the time of release. This commission covers the matchmaking, payment-holding, and transfer-support service. If no sale occurs, no amount is owed by the seller.

8. Prohibited Listings and Conduct

The following may not be listed or sold on Komptly: stolen or fraudulently obtained accounts, accounts with undisclosed artificial statistics (e.g., purchased followers), and accounts used to distribute illegal content. You agree not to use the service for any unlawful purpose, to circumvent these Terms, or to defraud another user. Komptly may refuse, remove, or suspend any listing or account at its discretion.

9. User Accounts

Registration is free and requires a valid email address. You are responsible for keeping your credentials confidential and for all activity under your account. Komptly may suspend or terminate your account for violation of these Terms, proven or suspected fraud, or conduct that threatens the security of the platform or other users. You may request deletion of your account at any time by contacting contact@komptly.app, subject to the prior completion or cancellation of any transaction in progress.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Komptly does not warrant that listed statistics are accurate beyond the verification steps described in these Terms, that the service will be uninterrupted or error-free, or that any account will continue to function or remain unsuspended after transfer.

11. Limitation of Liability

Komptly acts as a technical intermediary for matchmaking and payment holding. To the maximum extent permitted by law, Komptly is not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the service, the conduct of another user, the truthfulness of another user's statements, an event of force majeure (outage, cyberattack, unavailability of a third-party provider such as a hosting provider, bank, or payment processor), or the use of a transferred account after the buyer has confirmed the transaction. Where Komptly's liability is established, it is limited to the amount of the commission received on the transaction concerned, or $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold Komptly, its officers, and members harmless from any claim, loss, or demand, including reasonable attorneys' fees, made by any third party arising out of your breach of these Terms, your listing or purchase of an account, or your violation of any law or the rights of a third party.

13. Dispute Resolution, Arbitration Agreement, and Class Action Waiver

Most concerns can be resolved by contacting contact@komptly.app. If a dispute cannot be resolved informally within 30 days, you and Komptly agree that it will be settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. YOU AND KOMPTLY EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. This arbitration agreement survives termination of your account.

14. Governing Law

These Terms are governed by the laws of the State of New Mexico, without regard to its conflict-of-law principles, except as otherwise required by applicable mandatory consumer-protection law of your state of residence.

15. Changes to these Terms

Komptly may update these Terms at any time, in particular to reflect changes in the service or applicable law. Material changes will be communicated by email or an in-app notice. Continued use of Komptly after a change takes effect constitutes acceptance of the updated Terms.
